Developer agreement
This Developer agreement applies to anyone who publishes a game on UniPlays (“you”). It adds to the Terms of Use, which also apply to you. Where the two differ on a developer matter, this agreement wins. “UniPlays”, “we” and “us” mean UniPlays, the operator of uniplays.fun.
1. Acceptance
When you launch a game, the launch page shows a required box that reads “I have read and agree to the Terms of Use, the Developer agreement and the Content policy”. Ticking that box and launching is your acceptance of this agreement, the Terms of Use and the Content policy. If you publish or manage a game in any other way, such as through the API, you accept this agreement by doing so.
If you act for a company or other organisation, you confirm that you can bind it, and “you” means that organisation.
The Fees page and the Risk disclosures also form part of this agreement.
2. Who may publish
You must be able to form a binding contract under the law where you live. If you cannot, a parent or guardian must accept this agreement for you, and they are responsible for your games and your use of UniPlays. You confirm that you are not named on a sanctions list, and not owned or controlled by anyone who is, and that you will not use UniPlays to break sanctions laws. You are responsible for following the laws that apply to you and to your game wherever your players are.
3. You are the publisher
You are responsible for your game files, for every claim you make in your manifest and on your game page, and for anything your game does to a player. UniPlays checks that a game loads and scans it for obvious problems, running it in a closed browser with no internet access. That is a filter for spam and honest mistakes, not a security review, and it is not a warranty of anything.
4. What launching does
Launching publishes your game on Robinhood Chain, deploys its token and bonding curve and registers the game, in one transaction that you sign. It costs 0.0004 ETH, plus gas. In the same transaction you may make a first buy of up to 20% of the graduation target, which is 4.2 WETH by default, and that buy is public on chain.
When your curve sells out, UniPlays takes a graduation fee of 0.3 WETH from the raised WETH, never more than half of it, and the rest goes into your token’s pool at the price the curve ended at. The launch page shows this fee before you sign.
The token name (up to 64 characters) and symbol (up to 11) can never change. No tokens are set aside for you, for UniPlays or for anyone else. You may set an extra trading fee of 0% to 3% on the token side. You choose at launch how much of it goes to the holders of your game’s reward NFTs and how much to your game’s treasury, for example 1% to holders and 2% to the treasury, and which NFT types earn a share and at what weight. The treasury’s part is less any share your treasury burns on arrival. The fee, the split and the weights are fixed at launch and can never change.
5. Your fee stream
You receive half of the 1% trading fee on your token, which is 0.5% of the WETH side of every trade on the curve and, after graduation, in the pool, for as long as the token trades. UniPlays receives the other half. There is no vesting and no lockup. You can withdraw your half from the fee router contract at any time. The split with UniPlays is fixed in the contracts and cannot change.
This is payment for a service: making and running a game people play. Do not describe your token as giving its holders any share of it.
You can hand your game to another wallet in two steps: you propose the new wallet, and it accepts. Fees earned before the handover stay withdrawable by you, and fees earned after it go to the new developer. A handover clears the payout signer you appointed, which cancels every outstanding award voucher, and mint vouchers signed under the previous developer stop working. Item minting pauses while a handover is pending, and can stay paused for up to 3 days after it. If your game is suspended or delisted, item minting stops until it is Live again, and a mint voucher that expires meanwhile mints nothing. Fees you have already earned stay withdrawable, and fees keep accruing while the token trades.
6. Economy tools
- Launch declaration: your game’s economy is declared once, within 24 hours after launch and before your first update. That covers treasury ceilings, chance tables, the treasury’s offers to buy items and the shop split. Ceilings can never be raised. A cut to a live limit takes effect at once. Raising a limit, or changing a percentage or the shop split, takes effect 24 hours later. The treasury and burn shares of the shop split may rise later but never fall below what you declared.
- Shop: you set prices and how each payment is split between your credit, your game’s treasury and a burn. UniPlays takes nothing. If you price in US dollars, the conversion is made on chain, at your token’s average price over the 30 minutes before the purchase, and a purchase is refused when the chain cannot establish that price. You must deliver what a valid receipt pays for, and you must retry a failed delivery without charging again.
- Items: each game has one ERC-1155 collection. The supply cap and rules of an item type are fixed when you declare it. Mint vouchers last at most 30 days. You set a royalty of 0% to 10% for each item type, fixed when you declare it, with 5% as the suggested rate. It is taken from the seller’s proceeds and credited to you or burned, as you choose once for the collection. That choice can never change.
- Treasury: your game’s treasury can spend only toward players, on awards, buying items from players and prize money for chance rounds, within daily limits. Players are told that the treasury is not locked and that you may direct its funds to any address, including your own. Changing your payout signer cancels every outstanding award voucher, including ones already earned, and your game page shows the current payout signer. You may have your treasury burn a share of every payment it receives, up to the ceiling you declare at launch and never more than 50%. A change to that share takes effect 24 hours later.
- Rewards: you fund reward budgets in advance. A batch opens for claims 24 hours after funding, a guardian you appoint may challenge it before then, a challenge is settled within 7 days, and open rewards can be claimed for 90 days.
- Matches: players put in equal stakes. You may set a rake of 0% to 10% for your treasury, shown before a player joins, and you name the resolver that decides the winner. UniPlays takes nothing.
7. Games of chance
Rounds of chance are not open yet. When they open, this section applies. You set the odds, the prizes and a house fee of up to 50%, which goes to your game’s treasury. A round can use only a chance table declared at launch. The odds you publish must be the odds the round uses. Every result is signed with two keys, and UniPlays holds both, each in separate custody. A round takes entries for at most 24 hours, and a result can arrive until 24 hours after the round stops taking entries. If it has not arrived by then, anyone can refund the entry in full, house fee included, and the refund is credited to the player to collect with one withdrawal.
You are responsible for making sure your rounds are lawful wherever your players are. UniPlays does not check where players are and does not limit rounds by country.
8. Drops, seasons and burns
Fair drops and item burns are optional. You declare drop tables, seasons and burn recipes only in your game’s published files, and you change them only by publishing a game update. There is no other way to change them.
- A new season must start at least 24 hours after the update that declares it is confirmed, or 1 hour on the test network. It lasts at most 90 days and may not overlap another season. At most 3 declared seasons may be scheduled or running at once.
- A season that has been published can never change or be removed.
- Your game server decides when a drop is earned. It must report honestly and must not try to learn or influence outcomes.
- Players approve every burn in a UniPlays window outside your game. You may require final settlement for a burn purpose. You must honour each valid burn once and deliver what each recipe and drop promises.
- If the final chain differs from what a drop or burn acted on, UniPlays records it publicly and tells you through the server SDK, and you may reverse the in-game grant.
9. Updates
A new version updates your game’s files and manifest. The token is not affected. A version that asks for a new permission, or changes item prices or entry thresholds, shows returning players a notice before the game can be played. The registry allows at most 20 manifest updates per game per UTC day.
10. Hosted backends and billing
Hosting runs your game’s server code on UniPlays infrastructure. It is optional.
- The starting credit is $25, paid in WETH when you launch, or 25 USDG if you add hosting to a game that is already live. Later top-ups are paid in USDG, and 1 USDG buys $1 of credit.
- Usage is charged against your credit at our provider’s cost for your game’s usage plus a margin we set. Charges start as estimates and are corrected when our provider bills us. If we estimated too high, the difference returns as credit. The hosting panel shows your credit and usage. We give 14 days’ notice before we raise the margin, and a higher margin applies only to usage after that.
- Credit cannot be refunded and carries forward. There is no subscription and no automatic charge. When credit runs out, hosted work stops until you add more.
- We may suspend a hosted backend at once for security reasons.
- If you appoint the UniPlays hosted reward signer, it is a key UniPlays runs for you, limited by the list of payees you allow on chain.
- We keep usage records from our provider. We do not keep the content of your game’s logs.
11. Our software kits, keys and the API
We give you a non-exclusive, non-transferable, revocable licence to use the UniPlays software kits, API and MCP server to build, test and run games on UniPlays, and to include the game kit in your game files.
Developer API keys are scoped and can be rotated. Each key is shown once and we store only a hash, so we cannot recover a lost key. You are responsible for anything done with a key you issued. Keep keys secret and revoke any key that may be exposed. The API has rate limits.
12. Your players and their data
UniPlays gives your game a player identifier made for your game alone, and shares a player’s wallet address only with that player’s permission. If your game collects personal information, you need your own privacy notice and must follow the law that applies to it. Do not try to link player identifiers to real people without their consent. Tell players honestly what your game does, and keep to the content rating you declare.
13. Your content and our licence
You keep ownership of your game. You confirm that you have every right needed to publish it. You give UniPlays a worldwide, non-exclusive, royalty-free licence to host, copy, cache, check, run, serve and display your game, and to use its name, logo and screenshots to run and promote UniPlays. The licence ends when your game is removed, except for data on chain, copies in backups and copies we keep for legal or safety reasons.
14. How you describe your game and token
Do not claim or suggest that your token gives holders revenue, profit, a fee share or any return. If your game shares its extra trading fee with the holders of its reward NFTs, describe that exactly as the contract and your game’s Rewards page state it. Do not use your game or token to raise money as an investment, and do not promise a price. Keep your descriptions and disclosures accurate.
15. Moderation and on-chain status
We may act on your game under the Content policy. We can hide its page, remove it from lists, block its files, cut its services, suspend its hosting and set its on-chain status to Suspended or Delisted. Section 7 of the Terms of Use lists what an on-chain status stops and what continues. Your token keeps trading through other routes, and your fees keep accruing and stay withdrawable. Where we can, we tell you our reasons, and you can ask us to look again as the Content policy explains.
16. Taxes
You are responsible for tax on your fees, sales and other income from UniPlays, and for reporting it. The contracts pay your fees to you in full, and UniPlays cannot withhold anything from them.
17. Your promises
You promise that you have the rights to everything you publish, that your game contains no malware and does not attack players or UniPlays, that you and your game follow the law, and that the information you give us is accurate.
18. Your responsibility to us
You will cover UniPlays against claims, losses and reasonable costs, including legal costs, that arise from your game, its content, its items or its rounds; from a claim that your game infringes someone’s rights; from your dealings with players; from how you describe your game or token; or from your breach of this agreement or of any law. This does not apply to the extent the loss was caused by UniPlays.
19. Limits on our liability
Sections 23 and 24 of the Terms of Use apply to you as a developer. For the cap, the fees you paid to UniPlays include launch fees and hosting payments. Our total liability is limited to the greater of those fees paid in the 12 months before the claim arose and USD 100, except for fraud, wilful misconduct and liability that the law does not allow to be limited.
20. Ending this agreement
You can stop publishing at any time. Your token, its pool and your contracts keep working on chain, and nobody can delete what is on chain. We may suspend or end this agreement for your game if you break it, the Terms of Use or the Content policy, or for legal or security reasons. Sections that by their nature should last after it ends will last, including sections 5, 13 and 16 to 22.
21. Changes
We may change this agreement. We post every change here with a new last updated date. A material change takes effect 14 days after we post it, and continuing to publish or manage games after that is acceptance. A change does not affect fees and splits already fixed in the contracts.
22. Governing law and disputes
This agreement is governed by the laws of Singapore. Section 28 of the Terms of Use applies to any dispute under it.
In short
- First, send a written notice to legal@uniplays.fun and try in good faith to settle the dispute for 30 days.
- If it is not settled, it will be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its arbitration rules in force when the notice of arbitration is filed, seated in Singapore, before one arbitrator, in English.
- Claims are individual only, with no class or representative actions. Either side may use a small claims court where the claim qualifies.
- You have 30 days from the day you first accept this agreement to choose courts instead of arbitration, by writing to legal@uniplays.fun. An opt-out sent under the Terms of Use also covers this agreement.
- Nothing here removes a right you have under the law where you live that cannot be waived. A claim must be started within one year after it arose, unless that law does not allow the limit.
